1. Definitions

1.1 In these Conditions:

'BUYER' means the person who accepts a quotation of the Company for the sale of the Goods or whose order for the Goods does the Company accept.

'GOODS' means the goods (including any instalment of the goods or any parts for them), which the Company is to supply in accordance with these Conditions

'COMPANY' means Database & Software Development Solutions (also referred elsewhere in this document as DSD Solutions.

'CLIENT' means the person, firm or corporate body together with any subsidiary or associated company as defined by the Companies Act 1985 to whom an Applicant is introduced.

'CONDITIONS' means the standard terms and a condition of sale set out in this document and (unless the context otherwise requires) includes any special terms and conditions agreed in Writing between the Buyer and the Company.

'CONTRACT' means the contract for the purchase and sale of the Goods or Services

'WRITING' includes telex, cable, facsimile transmissions and comparable means of communication

'ENGAGEMENT' means the engagement, employment or use of the Applicant by the Client on a permanent or temporary basis, whether under a contract of service or for services; under an agency, licensee, franchise or partnership agreement; or any other engagement:

'INTRODUCTION' means the Clients interview of an Applicant in person or by telephone, following the Clients instruction to the Company to search for an Applicant; or the passing to the Client of a curriculum vitae or other information which identifies the Applicant and which leads to an Engagement of that Applicant by the Client;

'REMUNERATION' includes base salary, guaranteed and/or anticipated bonus and commission earnings, allowances, inducement payments, the benefit of a company car (currently calculated at 4,000 per annum benefit) and all other payments and taxable (and, where applicable, non-taxable) emoluments payable to or receivable by the Applicant for services rendered to or on behalf of the Client.

1.2 Any reference in these Conditions to any provision of a statute shall be construed as a reference to that provision as amended, re-enacted or extended at the relevant time

1.3 The headings in these Conditions are for convenience only and shall not affect their interpretation

1.4 These Terms of Business are deemed to be accepted by the Client by virtue of an Introduction to, or the Engagement of an Applicant or use of services.
